Razco Foods Platform Terms of Use

Please read these Terms of Use carefully before using our website or mobile applications.

By using the Razco Foods website (the "Site") or mobile applications (each an "App," collectively referred to as the "Platform"), or by otherwise utilizing Razco Foods services, which include processing grocery orders for curbside pickup ("Razco Service"), you acknowledge and accept these Terms of Use and our Privacy Policy. If you do not agree with these Terms of Use and our Privacy Policy, please do not use this Platform.

Razco Foods may update or revise these Terms of Use at any time. Your continued use of this Platform after any changes indicates your acceptance of the updated terms and your agreement to comply with all applicable laws and regulations. All materials provided on this Platform are protected under applicable laws, including but not limited to United States copyright laws and international treaties.

Use Restrictions

The content available on the Razco Foods Platform, including but not limited to text, graphics, interfaces, images, photographs, illustrations, trademarks, trade names, service marks, logos, software, and information obtained from Razco Foods or its licensors (collectively, the "Contents"), is protected by copyright under United States and international laws. "Razco Foods," all Razco Foods logos, graphics, button icons, trademarks, and trade dress are proprietary to Razco Foods and may only be used as explicitly permitted in these Terms of Use. All other trademarks, service marks, product names, and company logos appearing on the Platform belong to their respective owners, and you acquire no ownership rights to them by using the Platform or the Razco Service. Title to the Contents remains with Razco Foods. Any unauthorized use of the Contents may violate copyright, trademark, and other applicable laws. Except as expressly permitted, none of the Contents may be copied, reproduced, distributed, republished, downloaded, modified, displayed, posted, or transmitted in any form without prior written consent from Razco Foods.

Razco Foods grants you limited authorization to view and download a single copy of the Contents strictly for your own lawful, personal, non-commercial use, provided you include the following copyright notice: "Copyright © 2025, Razco Foods. All rights reserved," along with any other copyright and proprietary notices contained in the original Contents. Specific rules governing the use of certain materials provided on the Platform may appear elsewhere within the Platform and are incorporated by reference into these Terms of Use. The use of Contents on any other website or in any networked computer environment for any purpose is strictly prohibited. Razco Foods and its licensors reserve all rights not explicitly granted herein. Violation of any part of these Terms of Use will result in automatic termination of your rights to use the Contents, and you must immediately destroy any copies made.

You may not, without prior written permission from Razco Foods, mirror any content from this Platform on any other server. Additionally, you are prohibited from using the Platform in any unlawful manner or in ways that could damage, disable, overload, or impair the Platform, or interfere with others’ use and enjoyment. Unauthorized access attempts through hacking, password mining, or any other means are strictly forbidden. Razco Foods reserves the right, at its sole discretion, to terminate your access to all or any part of the Platform, at any time, without prior notice.

User Submissions

Any personal information you provide to Razco Foods is governed by the Razco Foods Privacy Policy. In the event of a conflict between these Terms of Use and the Privacy Policy, the Privacy Policy will prevail.

Razco Foods does not claim ownership of any content or information ("Submission") that users post, upload, submit, or otherwise transmit through this Platform, except as specifically noted in the section "Submission of Ideas" below. You agree not to submit content that is defamatory, scandalous, inflammatory, discriminatory, false, threatening, vulgar, obscene, profane, abusive, harassing, invasive of privacy, hateful, or directed negatively toward gender, race, sexual orientation, national origin, religion, or disability, or content that violates applicable laws or infringes upon the rights of any individual or entity. Furthermore, you agree not to:

(a) submit advertising, commercial solicitation, or promotional materials;

(b) disrupt dialogue or discussions with irrelevant submissions unless clearly designated as free-form;

(c) engage in posting chain letters or pyramid schemes;

(d) impersonate another individual or entity;

(e) distribute viruses, malware, or harmful computer code;

(f) collect or harvest personal information about others without consent;

(g) engage in spamming or repetitive postings; or

(h) undertake any actions that restrict or hinder other users' enjoyment of the Platform or expose Razco Foods, its licensors, partners, or customers to liability or harm.

By making any Submission, you agree that it is non-confidential, non-proprietary, and may be freely used and distributed by Razco Foods. You automatically grant—or warrant that the owner of the content has explicitly granted—Razco Foods a perpetual, irrevocable, royalty-free, worldwide, nonexclusive license to use, reproduce, modify, create derivative works, distribute, publish, translate, publicly display, and perform your Submission in any existing or future media or format. Razco Foods is under no obligation to use or acknowledge any Submission.

You alone are responsible for the content of your Submissions and for the consequences of posting or relying upon them. Razco Foods does not screen or monitor user Submissions but reserves the right (without obligation) to investigate reports of violations and remove any Submission at its sole discretion. Razco Foods is not liable for any consequences arising from user Submissions.

Razco Foods reserves the right (but does not assume the obligation) to:

(a) record interactions on the Platform;

(b) investigate allegations that a Submission violates these Terms of Use and, at its sole discretion, remove or request removal of such content;

(c) remove Submissions that are inappropriate, illegal, outdated, or disruptive;

(d) terminate user access for violations of these Terms of Use or applicable laws;

(e) monitor, edit, disclose, or delete Submissions at its sole discretion, regardless of whether such Submissions specifically violate these Terms of Use.

Access to the Razco Foods Service

You agree to provide all necessary equipment, services, and to bear all costs related to data, telephone, or any other charges required to access the Razco Foods Service and Platform. You further agree to comply fully with all applicable laws and regulations relevant to your use of the Razco Foods Platform and adhere to these Terms of Use. By accessing this Platform, you represent and warrant that you are at least 18 years of age and possess the authority to enter into this agreement and fulfill your obligations herein.

You acknowledge and accept that, at times, the Razco Foods Service or Platform may be temporarily unavailable or inoperable due to reasons including, but not limited to: (i) technical malfunctions or failures of equipment; (ii) periodic maintenance, updates, or repairs carried out by Razco Foods; or (iii) situations or events beyond Razco Foods' reasonable control or unforeseen by Razco Foods.

Submission of Ideas

Razco Foods maintains a policy of not accepting or reviewing unsolicited ideas or suggestions from individuals outside of the company. However, despite this policy, if you submit any ideas, concepts, know-how, or suggestions through this Platform or through other means, they automatically become the exclusive property of Razco Foods. Razco Foods reserves the right to treat such submissions as non-confidential and to freely use, disclose, and implement any submitted ideas, suggestions, or concepts without providing compensation or incurring any obligations to the submitting party.

Promotions and Promotional Codes

All offers and promotions featured on the Razco Foods Platform are void where prohibited and are governed by any official terms and conditions associated with each specific promotion. Razco Foods may provide promotional codes ("Promo Codes") for use on the Platform, each subject to additional terms and conditions set forth at the time of issuance.

By using any Promo Code, you agree that it:

(i) must be redeemed only by the intended recipients, for the specified purpose, and in compliance with applicable laws;

(ii) may not be duplicated, transferred, sold, or distributed publicly or privately beyond the originally intended recipients without explicit permission from Razco Foods;

(iii) may be disabled, canceled, or modified by Razco Foods at any time and for any reason without liability to Razco Foods;

(iv) must be redeemed strictly in accordance with any conditions established by Razco Foods;

(v) has no cash value and is not exchangeable for cash; and

(vi) may expire prior to redemption.

Razco Foods reserves the right to withhold or retract credits, offers, or benefits obtained through Promo Codes if it determines, in its sole discretion, that the Promo Code was misused, redeemed incorrectly, fraudulently, illegally, or in violation of these Terms of Use or the applicable Promo Code terms.

Liability of Razco Foods and Its Partners

You expressly acknowledge and agree that your use of the Razco Foods Service, Platform, and internet is entirely at your own risk. The Razco Foods Service, Platform, and all associated content are provided on an “as is” and “as available” basis. Razco Foods disclaims all warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. Razco Foods does not guarantee that information provided through the Platform, services, or products will be accurate, reliable, or free from errors. Razco Foods makes no representations regarding uninterrupted availability, reliability, correctness, accuracy, or that defects will be corrected, nor does Razco Foods guarantee that the Platform or its servers are free of viruses or harmful elements.

Neither Razco Foods nor any of its directors, officers, employees, affiliates, agents, representatives, partners, contractors, licensors, or third-party providers (collectively, the “Razco Foods Parties”) shall be held liable, under contract or tort, for any damages whatsoever, including direct, indirect, incidental, consequential, special, punitive, loss of data, income, profit, or property, arising from your use or inability to use the Platform, Razco Foods Service, or related internet access. Razco Foods’ sole liability is limited to refunding returned products. Your exclusive remedy for dissatisfaction with the Platform or Razco Foods Service is to discontinue use and terminate your account. Razco Foods reserves the right to limit quantities of any specific products ordered.

Please note that certain jurisdictions or states may not allow limitations on warranties or liability exclusions; in such jurisdictions, Razco Foods' liability will be limited to the maximum extent permitted by applicable law.

Use Restrictions and Availability

The materials on the Razco Foods Platform are intended solely for lawful use within locations serviced by Razco Foods. Razco Foods makes no claim that the content provided is suitable or available for use in locations outside of Lindsay, California, or other designated service areas. If you access the Platform from outside these areas, you are responsible for compliance with local laws. Pricing and product availability may vary by location and are subject to change without prior notice.

Indemnification

You agree to defend, indemnify, and hold harmless Razco Foods, including its directors, officers, employees, agents, affiliates, representatives, licensors, contractors, and partners (the “Razco Foods Parties”), from and against any claims, actions, demands, liabilities, damages, settlements, legal or administrative proceedings, and associated expenses (including attorney fees, accounting fees, and other related costs) arising from or allegedly resulting from your use or misuse of the Platform or its Contents, or violation of these Terms of Use.

Your Account

When using the Razco Foods Platform, you are solely responsible for maintaining the confidentiality of your account credentials and restricting access to your devices. You agree to assume responsibility for all activities conducted through your account or password. Razco Foods reserves the right, at its sole discretion, to refuse service, terminate accounts, remove or modify content, or cancel orders at any time and without notice.

General Provisions

Razco Foods makes no representations regarding the appropriateness or availability of the Platform’s content outside the serviced regions. Users accessing the Platform from outside these regions do so at their own risk and are responsible for complying with local laws. Prices and availability of products may vary geographically and may change without notice.

The provisions regarding Liability, Use Restrictions, User Submissions, Submission of Ideas, Indemnity, Applicable Laws, and Complete Agreement shall remain in effect after termination or expiration of these Terms of Use.

Applicable Law

These Terms of Use are governed by the laws of the State of California without regard to its conflict-of-law provisions. You agree to submit exclusively to the jurisdiction of California state courts for any disputes arising from or relating to your use of the Razco Foods Platform or services. Any legal claim or action you wish to pursue against Razco Foods must be filed within one year of the date the claim or cause of action arose; otherwise, the claim is permanently barred. If any part of these Terms of Use is deemed invalid by a competent court, the remaining provisions will continue to be enforceable and valid. No waiver of these Terms shall imply continued or future waivers of such or any other terms.

Notice and Take Down Procedures

If you believe any content accessible through the Razco Foods Platform infringes upon your copyright, you may request removal of such materials by contacting Razco Foods at the address provided below. Your notice must include the following information:

A clear identification and description of the copyrighted work you claim has been infringed, including a copy or URL link to an authorized version of the original work, if possible.

A clear description of the content you believe to be infringing, including its exact location (URL) or other details sufficient for Razco Foods to identify and locate the material on our Platform.

Your full name, mailing address, telephone number, and email address (if available).

A statement confirming your good faith belief that the identified use of the copyrighted material is unauthorized by the copyright owner, its agent, or applicable law.

A statement affirming that the information you have provided is accurate, along with your acknowledgment that you are acting under penalty of perjury, and that you are either the copyright owner or an authorized representative.

Complete Agreement

Unless explicitly stated otherwise in specific notices or disclaimers provided on this Platform, these Terms of Use, along with the Razco Foods Privacy Policy, represent the complete agreement between you and Razco Foods regarding your use of the Platform and its content.
